1. Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you”) and Niagara Falls Innovation Hub Inc. (formerly Spark Innovation Educational Center Inc.)(“NFIH,” “we,” “us,” or “our”) governing your access to and use of our website located at https://nfinnovationhub.ca and any related subdomains, online services, or content we make available (collectively, the “Site”).

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference and available at: https://nfinnovationhub.ca/privacy-policy/. If you do not agree with these Terms, you must not use the Site.

We may update these Terms from time to time. When we do, we will change the “Last updated” date above and post the revised Terms on the Site. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms.

The Site is intended for users who are at least the age of majority in their province or territory of residence. If you are under the age of majority, you may only use the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

Niagara Falls Innovation Hub Inc. is an independent nonprofit organization that supports entrepreneurs, innovators, and businesses through programming, workspace, mentorship, and community resources. We are registered in Canada and located at:

3. Intellectual Property

Unless otherwise indicated, the Site, including all content, features, and functionality (such as text, graphics, logos, icons, images, audio and video clips, software, and the overall look and feel) (collectively, the “Content”), is owned by or licensed to NFIH and is protected by Canadian and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and to view the Content for your personal, non-commercial use or for legitimate business purposes related to our programmes and services.

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, publish, distribute, transmit, display, perform, create derivative works from, or otherwise exploit any part of the Site or Content without our prior written consent.

All trademarks, logos, and service marks (collectively, the “Marks”) displayed on the Site are the property of NFIH or our licensors. You may not use any Marks without our prior written permission.

4. User Responsibilities

By using the Site, you represent and warrant that:

  • You have the legal capacity to agree to these Terms.

  • You will comply with these Terms and all applicable laws and regulations.

  • You will not use the Site for any illegal, unauthorised, or abusive purpose.

  • You will not attempt to interfere with the security or proper functioning of the Site.

You must not:

  • Use the Site in any manner that could disable, overburden, damage, or impair it.

  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.

  • Introduce any viruses, malware, or other harmful code.

  • Attempt to gain unauthorised access to any portion of the Site, other accounts, or any systems or networks connected to the Site.

  • Use the Site to harass, abuse, or harm any person or organisation, or to transmit unlawful, defamatory, or otherwise objectionable content.

We reserve the right (but do not have an obligation) to monitor use of the Site and to take any action we deem appropriate if we believe you are violating these Terms or applicable law.

5. User Content and Submissions

The Site may allow you to submit, upload, or otherwise provide content or information to us (for example, through contact forms, applications, surveys, testimonials, or feedback) (“User Content”).

You are responsible for any User Content you provide and represent and warrant that:

  • You have all necessary rights to submit the User Content.

  • The User Content is accurate to the best of your knowledge.

  • The User Content does not infringe the rights of any third party or violate any law.

By submitting User Content to us, you grant NFIH a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, and display such User Content for the purposes of operating the Site, providing our services, and, where applicable, showcasing success stories or testimonials, in accordance with our Privacy Policy.

We are not obligated to use any User Content and may remove or refuse any User Content at our discretion.

If you submit ideas, suggestions, or feedback about the Site or our services (“Feedback”), you agree that we may use such Feedback for any purpose without obligation or compensation to you.

6. Third-Party Websites, Platforms, and Content

The Site may contain links to third-party websites, platforms, or resources, or may reference third-party products, services, tools, or content (collectively, “Third-Party Content”).

We do not control and are not responsible for Third-Party Content, and we make no representations or warranties regarding it. Links or references to Third-Party Content are provided for convenience only and do not constitute or imply an endorsement, recommendation, or approval by NFIH, the City of Niagara Falls, or any funding partners.

If you access or use any Third-Party Content, you do so at your own risk and are subject to the terms and policies of those third parties. We are not a party to, and have no responsibility for, any transactions or relationships between you and third parties.

7. Privacy and Cookies

Your use of the Site is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information, and how we use cookies and similar technologies.

By using the Site, you acknowledge that you have read and understand our Privacy Policy and agree to our handling of your personal information as described there.

8. Digital Communications and Marketing

By contacting us through the Site, subscribing to our newsletter, or participating in our programmes, you may receive emails or other electronic communications from us. We send commercial electronic messages in accordance with Canada’s Anti-Spam Legislation (CASL). You can unsubscribe from marketing emails at any time by using the unsubscribe link in our emails or by contacting us at info@nfinnovationhub.ca.

Certain notices or communications related to our services, terms, or legal obligations may still be sent to you even if you opt out of marketing messages, where permitted by law.

9. Modifications, Availability, and Interruptions

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice, including for maintenance, upgrades, or other operational reasons. We do not guarantee that the Site, or any Content, will always be available, uninterrupted, or error-free.

We are not liable for any loss or damage arising from any modification, suspension, or discontinuation of the Site or from any unavailability or interruption of access.

10. Disclaimers

The Site and all Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, and those arising by statute or from a course of dealing or usage of trade.

We do not warrant that the Site will be accurate, complete, current, secure, free from errors, viruses, or other harmful components, or that any defects will be corrected.

Any information, resources, or Third-Party Content made available through the Site is provided for general informational purposes only and does not constitute professional, legal, financial, or business advice. You should obtain appropriate professional advice before acting or relying on any information obtained from the Site.

11. Limitation of Liability

To the fullest extent permitted by law, NFIH and its directors, officers, employees, volunteers, contractors, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site or any Content, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Site or these Terms will be limited to one hundred Canadian dollars (CAD $100), or the minimum amount required by applicable law if a higher minimum applies.

Some jurisdictions do not allow limitations of certain liabilities, so some of the above limitations may not apply to you.

12. Indemnity

You agree to indemnify, defend, and hold harmless NFIH and its directors, officers, employees, volunteers, contractors, and agents from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Site;

  • Your violation of these Terms; or

  • Your violation of any rights of a third party.

We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to co-operate with our defence of such claims.

13. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in or nearest to Niagara Falls, Ontario, for the resolution of any disputes arising out of or relating to these Terms or the Site.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and post the revised Terms on the Site. In some cases, we may also provide additional notice (such as a banner or email).

Your continued use of the Site after we post updated Terms means you accept and agree to the changes.

15. General

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions.

No failure or delay by us in enforcing any right or provision of these Terms will be deemed a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

These Terms, together with our Privacy Policy and any other legal notices posted on the Site, constitute the entire agreement between you and NFIH relating to your use of the Site.
